• "iBeh.ai", "we", "us", "our" refers to International Bureau of Ethical Hacking Ltd.
• "Services" refers to all cybersecurity services provided by iBeh.ai, including but not limited to penetration testing, security assessments, compliance consulting, and any related deliverables.
• "Website" refers to www.ibeh.ai and all associated subdomains.
• "User", "you", "your" refers to the individual or entity accessing or using our Services.
• "Client" refers to any individual or entity that has entered into a separate service agreement with iBeh.ai for the provision of cybersecurity services.
• "Content" includes all text, graphics, images, software, and other materials on our Website.

3. Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• You are not located in a country that is subject to a UK Government embargo
• You are not on any UK or international list of prohibited or restricted parties
• You will use our Services in compliance with all applicable laws and regulations

4. Service Descriptions and Engagement

4.1 Website Services

The iBeh.ai website provides information about our cybersecurity services, industry insights, and contact facilities. The information on our website is for general informational purposes only and does not constitute professional advice or an offer to provide services.

4.2 Professional Cybersecurity Services

All professional cybersecurity services (including penetration testing, security assessments, red teaming, and consulting) are provided subject to a separate written agreement ("Service Agreement"). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.

4.3 No Unlawful or Prohibited Use

You agree not to use our Services for any purpose that is unlawful or prohibited by these Terms. You may not use our Services in any manner that could damage, disable, overburden, or impair our systems or interfere with any other party's use of our Services.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Website and its original content, features, and functionality are owned by iBeh.ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes but is not limited to:

• All text, graphics, logos, icons, and images
• Software, methodologies, and testing frameworks
• Security reports, findings, and recommendations (subject to Section 5.3)
• Trademarks, service marks, and trade dress

5.2 License to Use Website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Website for its intended purposes. You may not:

• Modify, copy, or create derivative works based on our Website
• Reverse engineer, decompile, or disassemble any part of our Website
• Remove any copyright or proprietary notices

5.3 Deliverables and Work Product

All deliverables produced by iBeh.ai for Clients under a Service Agreement, including security assessment reports and recommendations, are provided for the Client's internal use only. Unless otherwise specified in the Service Agreement:

• iBeh.ai retains ownership of its methodologies, tools, and frameworks
• The Client receives a license to use the deliverables for their internal security purposes
• Deliverables may not be shared with third parties without our prior written consent

6. User Obligations and Conduct

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any viruses, malware, or harmful code
• Attempt to circumvent any security measures
• Use our Services to test the security of any system without authorization
• Provide false or misleading information
• Impersonate any person or entity
• Harass, abuse, or harm another person

7. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal data.

8. Fees and Payment

8.1 Service Fees

Fees for professional services are as set forth in the applicable Service Agreement. Unless otherwise specified, all fees are:

• Quoted in British Pounds Sterling (GBP)
• Exclusive of VAT or other applicable taxes
• Non-refundable except as expressly provided in the Service Agreement

8.2 Payment Terms

Payment terms are specified in each Service Agreement. Standard terms require:

• 50% deposit before work commences
• 50% upon delivery of final report
• Invoices payable within 30 days

8.3 Late Payments

We reserve the right to suspend Services and charge interest on overdue amounts at the rate of 8% per annum above the Bank of England base rate, as provided for under UK law.

9. Confidentiality

9.1 Confidential Information

During the course of providing Services, we may have access to your confidential information. Both parties agree to:

• Maintain the confidentiality of all confidential information
• Use confidential information only for the purposes of the engagement
• Limit access to confidential information to those with a need to know
• Return or destroy confidential information upon request

9.2 Exceptions

Confidential information does not include information that:

• Is or becomes publicly available through no fault of the receiving party
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed without reference to confidential information
• Is required to be disclosed by law or regulation

11.1 Our Warranties

We warrant that our Services will be performed with reasonable skill and care, consistent with industry standards for cybersecurity professionals. For Clients with a Service Agreement, additional warranties may be specified in that agreement.

11.2 Disclaimer

Except as expressly provided in these Terms or a Service Agreement, our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results from the Services will be accurate, complete, or reliable
• Any errors or vulnerabilities will be corrected

11.3 Security Testing Limitations

You acknowledge that security testing has inherent limitations:

• No security assessment can identify all vulnerabilities
• Security is an ongoing process, not a one-time event
• New vulnerabilities are discovered continuously
• Our findings represent a point-in-time assessment

12. Indemnification

You agree to indemnify, defend, and hold harmless iBeh.ai and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use of our Services
• Your violation of any rights of a third party
• Any content or information you provide

13. Termination

13.1 Termination by You

You may stop using our Services at any time. Termination of a Service Agreement is governed by the terms of that agreement.

13.2 Termination by Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranties, indemnities, and limitations of liability.

14. Third-Party Links and Services

Our Website may contain links to third-party websites or services that are not owned or controlled by iBeh.ai. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by or in connection with your use of any third-party websites or services.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve any dispute informally by contacting us at admin@ibeh.ai. We will attempt to resolve the dispute through good-faith negotiations.

15.2 Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

15.3 Jurisdiction

Subject to Section 15.1, you agree to submit to the exclusive jurisdiction of the courts of England and Wales for resolution of any disputes arising out of or relating to these Terms or our Services.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

18. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreement, constitute the entire agreement between you and iBeh.ai regarding your use of our Services, superseding any prior agreements between you and iBeh.ai.
